MyGreenFund Terms of Service

Welcome to MyGreenFund (“MyGreenFund,” “we,” “us,” or “our”). These Terms of Service govern your use of and access to the MyGreenFund software, including our website (mygreenfund.org) (the “Website”) and any mobile applications we may offer (the “App”), as well as any content, functionality, or services offered on or through our platform (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms of Service, as well as our Privacy Policy (https://www.mygreenfund.org/privacy-policy), which is incorporated by reference.

If you do not agree to these Terms of Service, please do not use the Service.

Redeeming promotional codes may require you to leave our platform and transact with third-party websites, which are governed by their own terms and privacy policies.

Feedback: Any questions, comments, suggestions, ideas, or other information about the Service that you voluntarily provide to us (“Feedback”) is non-confidential and shall become the sole property of MyGreenFund. We will own exclusive rights, including all intellectual property rights, to such Feedback.

MYGREENFUND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MYGREENFUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYGREENFUND OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF MYGREENFUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless MyGreenFund, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to (a) your violation of these Terms of Service, (b) your use or misuse of the Service, or (c) your violation of any third-party rights.

11. Termination

1. Termination by You: You may terminate your account and stop using the Service at any time by ceasing all use of our Website and App.
2. Termination by MyGreenFund: We may suspend or terminate your access to the Service at any time for any reason, including but not limited to your breach of these Terms of Service.
3. Effect of Termination: Upon termination, all rights granted to you under these Terms of Service will immediately cease, and you must discontinue all use of the Service. Any provisions that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitations of liability, and indemnification.

12. Governing Law and Dispute Resolution

1. Governing Law: These Terms of Service and any disputes arising out of or relating to them will be governed by and construed in accordance with the laws of Illinois without regard to its conflict of law principles.
2. Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to this Agreement shall be settled by [arbitration in accordance with the rules of Illinois / courts of Illinois. You agree to submit to the personal jurisdiction of the chosen legal forum for any actions not subject to arbitration.

13. Changes to Terms of Service

We may update or modify these Terms of Service from time to time at our sole discretion. When we do, we will revise the “Effective Date” at the top of this page. Your continued use of the Service following the posting of changes indicates your acceptance of those modifications.

14. Miscellaneous

1. Entire Agreement: These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and MyGreenFund regarding your use of the Service and supersede any prior agreements.
2. Severability: If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
3. No Waiver: Our failure to enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision.
4. Assignment: You may not assign or transfer these Terms of Service or any of your rights or obligations hereunder without our prior written consent. MyGreenFund may freely assign or transfer these Terms of Service without restriction.
